Affiliate Program Terms and Conditions ​

These Affiliate Program Terms and Conditions (“Terms”) govern your participation in the InstaWP Inc. Affiliate Program (the “Program”) offered by InstaWP Inc. (“InstaWP,” “we,” or “us”). By participating in the Program, you (“Affiliate,” “you,” or “your”) agree to comply with these Terms. If you do not agree with any of these Terms, please do not join or participate in the Program.

1. Affiliate Enrollment and Account

1.1 Eligibility: To become an affiliate, you must meet the following criteria: (1) be at least 18 years old, (2) have a PayPal account, and (3) be eligible to receive affiliate payments via a payment provider or process identified by InstaWP Inc., which may change from time to time. We reserve the right to reject any application at our discretion.

In order to receive affiliate payments, you must comply with the requirements of the payment provider. Currently, commissions are paid via PayPal. Please review PayPal’s policy at https://www.paypal.com/webapps/mpp/country-worldwide to ensure that you are eligible to receive payments through PayPal. Please note that any transaction fees charged by PayPal or any other payment provider are your responsibility and InstaWP Inc. shall not be held liable for such fees.

1.2 Enrollment Process: To enroll in the Program, you must complete the affiliate application on our website and provide accurate and complete information. We reserve the right to verify your information and request additional documentation.

1.3 Affiliate Account: Upon acceptance into the Program, you will receive a unique affiliate tracking ID (“Affiliate ID”) and access to your affiliate account. You are responsible for maintaining the security and confidentiality of your Affiliate ID and account.

2. Affiliate Responsibilities

2.1 Promotional Activities: As an affiliate, you agree to promote InstaWP’s products and services through your website or social media account and other approved channels. You must comply with all applicable laws, regulations, and guidelines when promoting our products.

2.2 Prohibited Activities: You must not engage in any misleading, unethical, or illegal promotional activities. Prohibited activities include, but are not limited to, spamming, false advertising, infringing on intellectual property rights, and running pay-per-click (PPC) ads or any kind of ad campaign directly linking to InstaWP with your affiliate code. You are not allowed to use paid advertising methods to drive traffic directly to InstaWP with the intention of earning affiliate commissions. Violation of this policy may result in immediate termination from the Program and forfeiture of any outstanding commissions.

2.3 Branding Guidelines: You must adhere to InstaWP’s branding guidelines when promoting. This includes using approved logos, images, and promotional materials provided by us. You may not modify or alter our materials without our prior written consent.

2.4 Disclosure Requirements: As an affiliate, you must disclose your affiliate relationship with InstaWP. in a clear and conspicuous manner whenever you promote our platform. This disclosure should be made in compliance with applicable laws and regulations.

3. Commission and Payments

3.1 Commission Structure: You will earn a commission for each eligible referral that results in a qualifying purchase. The commission structure will be outlined in your affiliate account. We reserve the right to modify the commission structure at any time, with reasonable notice.

3.2 Qualifying Purchase: A qualifying purchase is a completed purchase made by a customer referred by you, using your unique affiliate tracking link or code. The purchase must comply with our terms of service and be free from fraud or abuse.

3.3 Commission Payments: Commissions will be paid on a monthly basis, within 30 days following the end of each calendar month. Payments will be made in the currency specified in your affiliate account. You are responsible for providing accurate payment details.

3.4 Minimum Payout Threshold: You must reach a minimum commission balance of $50 (or the equivalent in your account currency) before being eligible for payment. If your commission balance is below the threshold, it will roll over to the next payment period.

4. Term and Termination

4.1 Term: These Terms will remain in effect until terminated by either party. Either party may terminate the agreement at any time, with or without cause, by providing written notice to the other party.

4.2 Termination for Breach: We may terminate your participation in the Program immediately if you breach any provision of these Terms or engage in any prohibited activities.

4.3 Effect of Termination: Upon termination, you will no longer be eligible to earn commissions. You must immediately remove all promotional materials and stop promoting our products

5. Modification of Terms

We reserve the right to modify these Terms at any time, with or without notice. It is your responsibility to review the Terms regularly. If you continue to participate in the Program after any modifications, it will constitute your acceptance of the revised Terms.

6. Limitation of Liability

To the maximum extent permitted by law, InstaWP Inc. shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the Program, including but not limited to lost profits, lost data, or business interruption.

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Wilmington, Delaware, United States.

By participating in the InstaWP Inc. Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and any other guidelines or policies referenced herein.
